Terms of Service

  1. Acceptance of these Terms Welcome to Rewoven (the "Marketplace"), an online platform. These Terms of Service (the "Terms") govern your access to and use of the Marketplace, including any related websites, mobile applications, content, features, and services we provide (collectively, the "Services"). By creating an account, listing an item for sale, purchasing an item, or otherwise using the Services, you ("you," "your," or "User") agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree to these Terms, you must not use the Services.

  2. Definitions (a) "Buyer" means a User who purchases or offers to purchase an item through the Marketplace. (b) "Seller" means a User who lists an item for sale on the Marketplace. (c) "Listing" means an offer by a Seller to sell a specific item, including all photographs, descriptions, fibre declarations, and other content posted by the Seller. (d) "Natural Fibre" means cotton, linen, silk, wool, cashmere, hemp, ramie, Tencel/Lyocell, or another fiber we from time to time designate as eligible for the Marketplace. (e) "Transaction" means a purchase initiated through the Marketplace between a Buyer and a Seller. (f) "Stripe" means Stripe, Inc. and its affiliates, our third-party payment processor.

  3. Eligibility and Account Registration (a) Geographic eligibility. The Services are intended for use only by residents of the United States. By using the Services, you represent that you reside in the United States and that any Listings you create or items you purchase will be shipped to a US address. (b) Account information. You agree to provide accurate, current, and complete information when registering, and to keep that information up to date. You are solely responsible for safeguarding your password and for any activity that occurs under your account. (c) One account per person. You may not create more than one account, and you may not use another User's account without permission. (d) Suspension. We may refuse, suspend, or terminate any account at our sole discretion, including for violation of these Terms.

  4. Our Role: We Are an Intermediary, Not a Seller Rewoven is a venue that allows independent Buyers and Sellers to enter into Transactions for the sale of pre-owned and new clothing made primarily of Natural Fibres. Except for items we may list ourselves and clearly identify as such, we do not own, sell, resell, store, ship, or inspect any item listed on the Marketplace. Sellers are independent third parties, not our employees, agents, partners, or representatives. Each Listing is a contractual offer made by the Seller to the Buyer. When a Buyer accepts that offer through the Marketplace, the resulting Transaction is solely between the Buyer and the Seller. We facilitate the Transaction, collect payment on the Seller's behalf through Stripe, and remit the Seller's proceeds (less our commission and fees), but we are not a party to the underlying sale. You acknowledge that we have no control over, and make no representation or warranty about, the existence, quality, safety, accuracy, fibre content, legality, or any other aspect of any Listing, item, or Transaction. We do not endorse any User, Listing, or item.

  5. Listings and Seller Obligations (a) Eligible items. Sellers may only list clothing items whose primary fibre is a Natural Fibre. Items whose primary fibre is polyester, nylon, acrylic, spandex, elastane, or any other synthetic fibre are not eligible and will be removed. (b) Fibre attestation. By creating a Listing, the Seller represents and warrants that (i) the fibre content declared in the Listing accurately reflects the garment's care label or equivalent verification, (ii) the Seller has personally inspected the care label before listing, and (iii) the Seller understands that materially misrepresenting fibre content is grounds for immediate removal of the Listing, suspension or termination of the Seller's account, and a full refund of the Transaction at the Seller's expense. (c) Required content. Every Listing must include at least four photographs, including a clearly readable photograph of the garment's care label, an accurate fibre blend percentage, condition, size, and primary color. (d) Authenticity. Sellers represent and warrant that they own or have the legal right to sell each item listed, and that the item is not counterfeit, stolen, or subject to any third-party claim or restriction. (e) Pricing. Sellers set their own prices in US dollars. Sellers may not engage in price-fixing, deceptive pricing, or coordinated pricing with other Sellers. (f) Shipping obligations. Sellers must ship sold items within five (5) business days of the Transaction confirmation. Failure to ship on time may result in automatic cancellation of the Transaction and refund to the Buyer. (g) Off-platform transactions. Sellers may not solicit Buyers to complete or pay for any Transaction outside of the Marketplace and doing so may result in account termination.

  6. Buyer Obligations (a) Honest purchases. Buyers agree to purchase items only when they intend to complete the Transaction, pay the full price, and accept delivery. (b) Inspection on delivery. Buyers should inspect items promptly upon delivery and submit any claim to Rewoven customer service for damage within three (3) days. (c) Reviews. Buyers may submit reviews of completed Transactions. Reviews must be honest, based on the Buyer's own experience, and free of personal attacks, harassment, or unlawful content.

  7. Fees, Commissions, and Payment (a) Commission. We charge Sellers a commission of [10]% of the gross sale price of each item sold (the "Commission"). The Commission is automatically deducted from each payout. (b) Payment processing. All payments are processed by Stripe. By becoming a Seller, you agree to the Stripe Connected Account Agreement and Stripe Services Agreement, which form a separate agreement between you and Stripe. (c) Sales tax. Where required by applicable state law, the Marketplace will calculate, collect, and remit sales tax on Transactions as a marketplace facilitator. Sellers are responsible for any other tax obligations arising from their use of the Services, including income tax. (d) Payout timing. Stripe holds Seller proceeds until (i) the Buyer confirms delivery, or (ii) fourteen (14) days after the Seller marks the item as shipped, whichever occurs first. After release, payout to the Seller's bank account typically takes two (2) to seven (7) business days. (e) Refunds and chargebacks. Sellers are responsible for any refunds or chargebacks attributable to their items. We reserve the right to deduct refunds and chargebacks from current or future Seller payouts.

  8. Returns and the Natural Fibre Guarantee (a) If a Buyer receives an item whose actual fibre content materially differs from the fibre content declared in the Listing, or if the item does not match the listing, the Buyer may submit a claim through our support channel within three (3) days of delivery, accompanied by a clearly readable photograph of the garment's care label and supporting photos. Approved claims will be refunded in full to the Buyer, and the corresponding amount will be debited from the Seller's payout. (b) Other returns. Aside from the Natural Fibre Guarantee, all sales are final. Buyers should review each Listing carefully before purchasing. (c) Damaged or lost shipments. If an item is lost or damaged in transit, the Buyer should contact our support team. We will assist in filing a carrier claim. Resolution depends on the carrier and may not result in a full refund.

  9. User Content "User Content" means any content you upload, post, or otherwise transmit through the Services, including photographs, descriptions, reviews, and messages. You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, display, modify, distribute, and create derivative works of your User Content in connection with operating, promoting, and improving the Services. You represent and warrant that (i) you own or have the necessary rights to your User Content, (ii) your User Content does not infringe any third party's intellectual property, privacy, or other rights, and (iii) your User Content complies with these Terms and applicable law.

  10. Prohibited Conduct You agree not to do, or assist any third party in doing, any of the following: • List items whose primary fibre is synthetic, or otherwise misrepresent fibre content. • List counterfeit, stolen, or otherwise illegal items. • List items that infringe a third party's trademark, copyright, or other intellectual property right. • Use the Services to harass, threaten, defame, stalk, or discriminate against any other User. • Solicit, encourage, or facilitate transactions outside of the Marketplace. • Post false, misleading, or deceptive Listings, reviews, or other content. • Manipulate prices, ratings, search rankings, or other Marketplace mechanics. • Use any automated means (including bots, scrapers, or crawlers) to access or extract data from the Services without our express written permission. • Reverse engineer, decompile, or attempt to derive the source code of any portion of the Services. • Interfere with the proper functioning of the Services, including by uploading malware, performing denial-of-service attacks, or attempting to gain unauthorized access to any part of the Services. • Violate any applicable federal, state, or local law or regulation.

  11. Our Intellectual Property The Marketplace, including its design, branding, logos, software, and original content (other than User Content), is owned by [Rewoven, LLC] or our licensors and is protected by US and international copyright, trademark, and other intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any portion of the Services without our prior written consent.

  12. Disputes Between Users You acknowledge that we are not a party to any Transaction. Disputes between Users about a Transaction or item are between those Users. We may, but are not obligated to, attempt to facilitate resolution. You release us, our affiliates, and our officers, directors, employees, and agents from any and all claims, demands, and damages of every kind arising out of or related to any dispute with another User or any Transaction.

  13. Disclaimers THE SERVICES, INCLUDING ALL CONTENT, LISTINGS, AND TRANSACTIONS, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR TRADE USAGE. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR (iii) ANY ITEM, LISTING, OR USER WILL BE ACCURATE, RELIABLE, OR LAWFUL.

  14. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL REWOVEN, LLC, OUR AFFILIATES, OR OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED US DOLLARS (USD $100). Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such laws apply, the disclaimers and limitations above apply to the maximum extent permitted by law.

  15. Indemnification You agree to defend, indemnify, and hold harmless REWOVEN, LLC, our affiliates, and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your User Content, (c) your Listings or items sold, (d) your violation of these Terms, or (e) your violation of any law or third-party right.

  16. Suspension and Termination (a) By you. You may terminate your account at any time. Termination does not relieve you of any obligations incurred prior to termination, including completing pending Transactions and paying any amounts owed. (b) By us. We may suspend or terminate your account at any time, with or without notice, for any reason, including suspected violation of these Terms, suspected fraud, or risk to other Users. (c) Effect. Upon termination, your right to access and use the Services ceases. Provisions of these Terms that by their nature should survive termination (including Sections 7 through 22) will survive.

  17. Modifications to the Services or these Terms We may modify the Services or these Terms at any time. If we make material changes, we will provide notice through the Services or by email. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the changes, you must stop using the Services.

  18. Notices We may provide notices to you by email at the address associated with your account, by posting on the Marketplace, or by any other method we deem appropriate. You are responsible for keeping your contact information up to date.

  19. Miscellaneous (a) Entire agreement. These Terms, together with the Privacy Policy, and any other policies referenced herein, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. (b) Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full effect. (c) No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision. (d) Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms freely. (e) Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, or failures of third-party services. (f) Relationship. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and us.
